These Terms apply when using SimianX AI's services, including software, tools, and websites. By using our Services, you agree to these Terms and our Privacy Policy, which details our data handling practices.
We are Outerspace Consulting Inc. We operate the website "simianx.ai" (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Services.

To access SimianX AI's services, you must be 13 or older. Those under 18 need parental or guardian consent. If representing someone else, ensure you have authority to accept these Terms for them. Ensure accurate details during registration. Do not share your access details outside your group; you're accountable for all actions under your account.
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
Access and Use: You're permitted to access SimianX AI's services as per these Terms. Ensure compliance with these guidelines and all relevant laws. All rights, titles, and stakes in the Services belong to us and our associates.
Limitations: Please refrain from: (1) abusing the Services to infringe upon any rights; (2) attempting to decipher our source code or the basics of our algorithms; (3) leveraging our Service outputs to create rival models to SimianX AI; (4) employing any unauthorized method, such as scraping, to pull data from our Services; (5) falsely claiming Service outputs as human-made or breaching our Usage Policies; (6) trading API keys without our prior agreement; (7) forwarding us personal details of minors below 13 or any relevant age of digital consent. Please adhere to our rate constraints and documentation. SimianX AI's services are only available in our supported regions. (8) External Services: Should you employ third-party software or services with ours, they come with their own terms. We aren't accountable for these third-party entities.
Feedbacks: We welcome feedback, suggestions, and ideas. Should you offer any, understand we may implement them without owing any compensation to you.
By accessing SimianX AI's services, you assert and guarantee that: (1) Your submitted registration details are genuine, precise, up-to-date, and comprehensive; (2) You pledge to maintain the truthfulness of this information and update any changes promptly; (3) You possess the legal authority and commit to adhering to these Service Guidelines; (4) You are 13 years of age or older; (5) You aren't considered a minor in your jurisdiction, and if you are, you've secured parental consent to access our Services; (6) You won't interface with our Services via automated means like bots or scripts; (7) You won't exploit our Services for any illicit or unsanctioned activities; and (8) Your interactions with our Services will remain in compliance with all pertinent regulations. Should you present any data that's false, outdated, or incomplete, SimianX AI reserves the authority to pause or terminate your account and may decline present or upcoming service utilization (in whole or in part).
Ownership of Services: The Services, including all software, algorithms, models, technology, user interfaces, graphics, designs, compilations, information, data, code, and all other elements of the Services (collectively, "SimianX AI Materials") are owned by SimianX AI and our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. All rights, title, and interest in and to the SimianX AI Materials, including all intellectual property rights therein, are and will remain the exclusive property of SimianX AI and our licensors. SimianX AI®, the SimianX AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SimianX AI or our affiliates or licensors.
Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal or internal business purposes. This license does not include any right to: (a) resell, redistribute, or make commercial use of the Services or SimianX AI Materials; (b) modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services or SimianX AI Materials; (c) copy, reproduce, distribute, publicly display, or publicly perform any SimianX AI Materials except as expressly permitted; (d) use any data mining, robots, or similar data gathering or extraction methods; (e) remove, obscure, or alter any copyright, trademark, or other proprietary rights notices from any portion of the Services.
Prohibited Use and Infringement: You may not copy, imitate, modify, alter, amend, or use any SimianX AI Materials, intellectual property, proprietary information, or technology without our express prior written consent. You may not use our Services to develop, train, or improve any competing artificial intelligence models, machine learning systems, or similar services. You may not scrape, crawl, or use automated means to access our Services or extract data. Any unauthorized use, reproduction, or distribution of our intellectual property may result in immediate termination of your account, civil liability, and criminal prosecution to the fullest extent of the law. We reserve all rights not expressly granted to you in these Terms.
Your Content Ownership: You can input data into SimianX AI's Services ("Input") and receive generated outputs based on that Input ("Output"). Together, they form the "Content". You retain ownership of all Input. In line with these Terms and relevant laws, SimianX AI transfers to you all its rights and claims over the Output. This allows you to utilize Content for any reason, including commercial pursuits, so long as you adhere to these Terms. You hold responsibility for the Content, ensuring its alignment with laws and these guidelines.
Output Uniqueness and Similarity: Given the dynamics of machine learning and AI technology, Outputs generated by our Services may not be unique or distinctive across users. SimianX AI may generate identical, similar, or analogous outputs for different users who provide similar inputs or prompts. You acknowledge and agree that other users may receive outputs that are substantially similar to yours.
Accuracy and Reliability Disclaimer: AI and machine learning are rapidly evolving fields. While SimianX AI strives to enhance the Services for precision, reliability, and efficacy, we make no guarantees regarding the accuracy, completeness, reliability, or suitability of any Output. Given the probabilistic and uncertain nature of machine learning models, there may be occasions where the Services deliver incorrect, incomplete, misleading, or inappropriate Outputs. YOU SHOULD NOT RELY ON AI-GENERATED OUTPUTS AS A SOLE SOURCE OF TRUTH OR FOR MAKING CRITICAL DECISIONS. Outputs should not be used as a substitute for professional advice in fields including but not limited to: medical, legal, financial, investment, tax, or any other professional services. For any critical, high-stakes, or regulated application (including financial decisions, medical diagnoses, legal advice, or safety-critical systems), you must independently verify the accuracy of all Outputs through qualified human review and expert consultation. You use all Outputs at your own risk and discretion.
Copyright Infringement (DMCA): We respect the intellectual property rights of others and expect users to do the same. If you believe that any content on our Services infringes your copyright, please notify us at legal@simianx.ai with: (1) identification of the copyrighted work claimed to have been infringed; (2) identification of the material claimed to be infringing; (3) your contact information; (4) a statement that you have a good faith belief that use of the material is not authorized; (5) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner. We will investigate and take appropriate action, which may include removing allegedly infringing content and terminating repeat infringers' accounts.
Feedback and Suggestions: If you provide us with any feedback, suggestions, ideas, or other information regarding the Services ("Feedback"), you hereby assign to SimianX AI all rights, title, and interest in and to such Feedback, and we may use, disclose, reproduce, license, and otherwise distribute and exploit such Feedback without any obligation or compensation to you. You waive any moral rights you may have in such Feedback.

You commit to giving up-to-date, accurate, and comprehensive payment and account details for all transactions made through our Services. Furthermore, you pledge to swiftly refresh account and payment data. We'll factor in sales tax as we see fit. We can adjust prices anytime. All payments are in US dollars.
By making a purchase, you consent to pay the listed charges and any relevant shipping costs. You allow us to charge your selected payment mode for these amounts when placing an order. If there's a recurring charge associated with your purchase, you're agreeing to let us charge your payment method on a consistent basis without asking for your confirmation each time, until the order is canceled by you. We have the authority to rectify pricing errors, even if payment has already been made or requested.
We can reject any order made via the Services. We might set limits or cancel order amounts on an individual, household, or per-order basis. We may limit or deny orders that seem to be made by middlemen or bulk sellers.
All sales are final and no refund will be issued.
Our services are subscription-based and billed by credits/points as clearly displayed on our pricing page (https://www.simianx.ai/pricing). All available service plans and features are comprehensively listed on this page. By completing your purchase, you acknowledge that you have reviewed and understood the service terms, credit allocation, and usage conditions. In the rare event that a refund is requested due to a material service failure or breach of service commitment on our part (not including user dissatisfaction, change of mind, or misunderstanding of service features that are clearly documented), you must first contact us at support@simianx.ai to resolve the issue through informal negotiation. If we determine in good faith that a refund is warranted, any approved refund amount will be calculated based strictly on the percentage of unused credits remaining in your account at the time of the refund request, minus payment processing fees of 4% plus $0.30 of the original transaction amount (representing third-party payment processor costs). This calculated amount represents the maximum refundable amount and is subject to mutual written agreement. Refunds will not be issued for: (1) services already consumed or credits already used; (2) subscription periods that have already commenced; (3) dissatisfaction with AI-generated outputs, as AI responses may vary; (4) user error, misuse, or violation of our terms of service; (5) third-party service interruptions beyond our control; or (6) requests made more than 30 days after the original purchase date. If you disagree with our refund decision, you may invoke the Dispute Resolution process outlined in these Terms.
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Services, you agree not to:
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; (3) refuse, restrict access to, limit the availability of, or disable any of your Contributions; (4) remove from the Services or otherwise disable all files and content that are excessive in size or burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property.
We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy posted on the Services, which is incorporated into these Legal Terms. Please be advised the Services are hosted in the United States. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.
These Legal Terms shall remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles.
We are committed to resolving disputes in a fair and efficient manner. If you have any concerns or disputes regarding our Services, please follow this process:
Informal Negotiation: Before initiating any formal dispute resolution process, you agree to first contact us at support@simianx.ai to attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within 30 days of receiving your notice.
Binding Arbitration: If we cannot resolve the dispute through informal negotiation, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including but not limited to refund disputes) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules for consumer disputes or Commercial Arbitration Rules for business disputes. The arbitration will be conducted in English, and the arbitrator's decision will be final and binding. The arbitration shall take place in the California county where you reside, or by remote/online proceedings at the parties' mutual agreement. For consumer disputes where the claim amount is $10,000 or less, we will reimburse your arbitration filing fees and pay the arbitrator's fees, unless the arbitrator determines your claim is frivolous. Each party shall bear its own attorney's fees and costs, except that the arbitrator may award reasonable attorneys' fees and costs to the prevailing party if permitted by law. This arbitration agreement does not preclude either party from seeking provisional remedies in aid of arbitration from a court of competent jurisdiction.
Class Action Waiver: TO THE EXTENT PERMITTED BY LAW, YOU AND SIMIANX AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and SimianX AI agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. CALIFORNIA RESIDENTS: Notwithstanding the above, this class action waiver shall not apply if and to the extent it is prohibited by California law applicable to your specific claim. If the class action waiver is found unenforceable for any reason, then the arbitration agreement shall be null and void as to such claim, and the claim may proceed in court.
Exceptions: Notwithstanding the above, either party may bring a claim in small claims court if the claim qualifies and remains in small claims court. Additionally, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Nothing in this agreement prevents you from bringing issues to the attention of federal, state, or local agencies, including, for example, the California Attorney General's office or the Federal Trade Commission.
Right to Opt Out: You have the right to opt out of this arbitration agreement. If you wish to opt out, you must notify us in writing at support@simianx.ai within 30 days of first accepting these Terms. Your opt-out notice must include your name, address, email address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, you and we will not be bound by this arbitration provision, but all other terms of these Legal Terms will remain in effect.
Governing Rules: This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16) to the extent it applies, but is also subject to California consumer protection laws where applicable. If any portion of this Dispute Resolution section is found to be unenforceable or unlawful, the remainder shall remain in full force and effect, except that if the class action waiver is found unenforceable, the entire arbitration agreement shall be void as to class or representative claims.
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Refund and Cancellation Rights: California law may provide additional rights regarding cancellations and refunds beyond what is stated in our refund policy. Nothing in these Terms is intended to limit your statutory rights under California law, including rights under California Civil Code Section 1689 et seq. (Home Solicitation Sales Act) if applicable, or California Business and Professions Code Section 17200 et seq. (Unfair Competition Law).

You may also contact the California Attorney General's office if you believe your consumer rights have been violated.
Limitation on Liability: Some California consumer protection laws may not permit certain limitations on liability or damages. If you are a California resident and any provision of our Limitations of Liability section conflicts with California law, the California law provisions shall control to the extent required by law.
Electronic Communications: By using our Services, you consent to receive electronic communications from us as permitted under California law, including under the California Consumer Legal Remedies Act (CLRA).
